Negotiating an Employment Agreement: Setting the Right Tone

He notes that--despite assurances by the company to the contrary--the executive’s attitude during the negotiation process often sets the tone for his future relationship with the company and its key executives. That’s why an executive must adopt a posture and a negotiation position that strikes the right balance between competing concerns.

An executive’s attitude during the negotiation process must convey multiple messages. He must demonstrate that he has a strong interest in the company and the job, that he is thoughtful about his demands, that he is firm in conveying those demands, and that he is also sensitive to the company’s competing demands and concerns. After the executive conveys those messages to the company, he has a choice. He may prefer to negotiate the finer details of the agreement himself (after receiving a list of talking points from his attorney) or he may prefer to turn the negotiation process over to his attorney. Usually, an executive will make that determination after he and his attorney discuss the specific factors that could impact the negotiation process.
