The company filed a form 12b-25 with the Securities and Exchange Commission on May 18, 2010, to disclose that couldn't file the form until its audit committee conducted an internal review related to the company's accounting for subordinated promissory notes in connection with certain acquisitions which occurred in prior periods.

Company officials said they are in the process of completing a plan to regain compliance with the NASDAQ rules for submission to NASDAQ prior to the July 19, 2010 deadline.
