According to the lawsuit, throughout the Class Period defendants issued false and misleading statements to investors and/or failed to disclose that: (1) TerraForm Power’s Management Services Agreement with SunEdison exposed TerraForm to risks associated with SunEdison’s internal financial controls and deficiencies therein; (2) TerraForm Power lacked effective internal financial controls; and (3) as a result of the foregoing, TerraForm Power’s public statements were materially false and misleading at all relevant times.
