Directors' Shareholding and Total Voting Rights

NetDimensions (AIM: NETD), a global provider of performance, knowledge and learning management systems, announces that on 13 January 2016 the Board issued and allotted 34,639 ordinary shares of US$0.001 each in the Company ("Ordinary Shares") to the following Non-Executive Directors of the Company. These awards have been made to them as part of their remuneration package.

The new Ordinary Shares will rank equally with the existing Ordinary Shares in the Company. Application has been made for these Ordinary Shares to be admitted to trading on AIM ("Admission"), which is anticipated to commence on 20 January 2016.

Following Admission the total number of Ordinary Shares with voting rights in issue will be 51,184,865. There are no shares held in treasury.

The above figure of 51,184,865 Ordinary Shares may be used by shareholders in the Company as the denominator for the calculations by which they will determine if they are required to notify their interest in, or a change in their interest in, the share capital of the Company under the FCA's DTR rules.
