Labrador Uranium Closes Acquisition of Anna Lake and Moran B Projects and Funding for Regional Scale Geophysics Survey

TORONTO, Nov. 24, 2022 (GLOBE NEWSWIRE) -- Labrador Uranium Inc. (“LUR”, “Labrador Uranium”, or “the Company”) (CSE: LUR, OTCQB: LURAF, FRA: EI1) is pleased to announce that it has closed the previously announced acquisition (the “Acquisition”) of the Anna Lake project (License No. 34834M) and the Moran Lake B-Zone prospect (License No. 027543M), (together, the “Projects”), pursuant to the purchase agreement dated October 13, 2022 between LUR and Beaconsfield Ventures Ltd. (“Beaconsfield”).

Pursuant to the Acquisition, LUR acquired the Projects in exchange for the issuance of 5,000,000 common shares of LUR (the “Common Shares”) at a deemed price of $0.32 per Common Share. As part of the Acquisition, LUR has also assumed an existing 2% net smelter royalty with respect to the Projects payable to a third party. The Common Shares issued in connection with the Acquisition are subject to approval of the Canadian Securities Exchange (the “CSE”) and a statutory hold period under Canadian securities legislation ending on March 25, 2023.

Anna Lake Project (Figure 1)

  • Located approximately 35 km southwest of the coastal community of Postville, Labrador, and 15 km northwest of the Michelin deposit held by Paladin Energy.
  • Contains historical Inferred Mineral Resources estimate of 5.1 million tonnes at an average grade of 0.044% U3O8 containing 4.91 million lbs of U3O8. This estimate is considered to be a “historical estimate” under National Instrument 43-101 – Standards of Disclosure for Mineral Projects (“NI 43-101”) and is not considered by LUR to be current. (See Table 1 below)
  • Covers a strike length of 750 meters and extends down-dip in the plane of mineralization to 663 meters within a broadly undulating sheetlike body and is open in all directions.
  • Located 9 km to the west along strike from the Melody Hill prospect where significant high grade uranium values of up to 28.2% occur in granite boulders (now owned by Paladin Energy) and Melody Hill North prospect (owned by LUR).
  • Reconnaissance fieldwork conducted by LUR to the northeast of the Anna Lake Property during the 2022 field season revealed potential for a similar boulder train to that described by Bayswater at the Anna Lake Deposit. LUR hopes to confirm this with future planned exploration work.

  3. A 3-dimensional geologic model of the deposit was created for the purpose of the resource estimate using the Gemcom/Surpac modeling software. A solid model was created using a minimum grade x thickness cutoff of 3 meters grading 0.03% U3O8. Intersections not meeting this cutoff were generally not incorporated into the model. The shell of this modeled zone was then used to constrain the mineralization for the purpose of the block model. Assay composites 2.5 meters in length that honoured the mineralized domains were used to interpolate grades into blocks using ordinary kriging. An average specific gravity of 2.93 was used to convert volumes to tonnes. The specific gravity data was acquired in-house and consisted of an average of seventeen samples collected from the mineralised section of the core. The resource was classified into Measured, Indicated or Inferred using semi-variogram ranges applied to search ellipses. All resources estimated at Anna Lake fall under the “Inferred” category due to the wide spaced drill density. LUR would need to conduct an exploration program, including twinning of historical drill holes to verify the Anna Lake Project estimate as a current mineral resource.

Moran B Prospect (Figure 1)

  • Addition of the Moran Lake B Zone strategically adds to the Moran Lake Trend, 3 km to the northeast of the Moran Lake Deposit.
  • Occurs near the edge of a large gabbroic intrusion associated with a pronounced aeromagnetic anomaly that is much more widespread than the intrusions mapped surface expression, suggesting it could be more extensive at depth.
  • Previous results from chip sampling of surface mineralization indicate polymetallic mineralization grading 0.087% U3O8, 0.28% Cu, 13.23 g/t Ag over 11.8 meters (Crosshair Assessment report, Froude, T., 2005).Grab sampling reporting from a 2003 property visit to an original Shell surface trench returned 0.46% Cu, 31.7 g/t Ag and 1.03 g/t Au (Crosshair Assessment report, Froude, T., 2005).

Geophysical Survey (Figure 2)

With the proceeds from the current capital raise, the Company is planning to complete a belt-wide airborne gravity survey over a significant percentage of the Central Mineral Belt (“CMB”), essentially covering all current Company tenured areas and beyond.

Significant Iron Oxide Copper-Gold-Uranium (“IOCGU”) deposits, analogous to those we believe are potentially present in the CMB, are invariably marked by oval-shaped, kilometer-scale gravity anomalies, reflecting enormous accumulations of iron-rich hydrothermal alteration. The Company is encouraged by the fact that an earlier, but smaller, airborne gravity survey completed by Monster Copper in 2003 in the western part of the CMB, successfully defined large masses of hematite-altered, mafic volcanic rocks closely associated with important uranium and copper occurrences around Moran Lake.

The types of large and productive mineral systems for which the Company is exploring in the CMB would be detected by the initially wide-spaced (400 meters) airborne survey, with closer spaced (200 and 100 meters) infill surveying planned to focus on significant density anomalies. Machine Learning targeting technology, currently being developed by the Company, is being incorporated into the planning process, assisting in defining the limits and focus of the airborne gravity survey.

The planned airborne gravity survey will give the Company a corporate advantage in the exploration of the CMB, helping to focus the Company´s future exploration for large Copper-Gold-Uranium deposits.

Private Placement of Flow-Through Units

LUR is also pleased to announce that it has completed a non-brokered private placement offering of up to 6,111,111 flow-through units in the capital of LUR (the “Units”) at a price of $0.45 per Unit for gross proceeds of $2,998,800 (the “Flow-Through Offering”). Each Unit consists of one “flow-through” Common Share (each, an “FT Share”) in the capital of the LUR within the meaning of subsection 66(15) of the Canada Income Tax Act (“ITA”) and one-half of one “non-flow-through” common share purchase warrant (each whole warrant, a “Warrant”). Each Warrant entitles the holder thereof to purchase one non-flow-through Common Share (each, a “Warrant Share”) at an exercise price of $0.60 per Warrant Share for a period of 24 months.

The proceeds of the Flow-Through Offering are expected to be used to incur eligible “Canadian exploration expenses” that will qualify as “flow-through mining expenditures” (within the meaning of the ITA) related to the Company’s CMB property for renunciation to the subscribers under the Flow-Through Offering.

In addition, an aggregate of 333,200 common shares of LUR were issued as finder’s fees to arm’s length parties that introduced the Company to certain subscribers participating in the Flow-Through Offering. All securities issued in connection with the Flow-Through Offering are subject to approval of the CSE and a statutory hold period under Canadian securities legislation ending four months and one day following the date of issuance.

Labrador Uranium is also pleased to announce that it has filed an updated NI 43-101 technical Report for the CMB Project area on a voluntary basis in order to reflect the increased land package of the CMB Project area.
