Intercept Pharmaceuticals Announces Proposed Offerings of $200 Million of Common Stock and $200 Million of Convertible Senior Notes due 2026

NEW YORK, May 08, 2019 (GLOBE NEWSWIRE) -- Intercept Pharmaceuticals, Inc. (Nasdaq:ICPT), a biopharmaceutical company focused on the development and commercialization of novel therapeutics to treat progressive non-viral liver diseases, today announced that it is commencing an underwritten public offering to sell, subject to market and other conditions, up to $200 million of its common stock. In connection with the public offering of common stock, Intercept also intends to grant to the underwriters a 30-day option to purchase up to an additional $30 million of its common stock.   

Intercept also announced that it is commencing an underwritten public offering to sell, subject to market and other conditions, up to $200 million aggregate principal amount of convertible senior notes due 2026 (the “Notes”).  The Notes will be senior unsecured obligations of Intercept and will mature on May 15, 2026, unless earlier converted, redeemed or repurchased. Prior to February 15, 2026, the Notes will be convertible at the option of the holders only upon satisfaction of certain conditions and during certain periods.  Holders may convert their Notes at their option at any time on or after February 15, 2026 until the close of business on the business day immediately preceding the maturity date.  The Notes will be convertible into cash, shares of Intercept’s common stock or a combination of cash and shares of Intercept’s common stock, at Intercept’s election.  Intercept may not redeem the Notes prior to May 20, 2023; on or after May 20, 2023, Intercept may redeem the Notes at its option, subject to certain conditions.  The interest rate, initial conversion rate and other terms of the Notes will be determined at the time of pricing of the Notes. In connection with the public offering of the Notes, Intercept also intends to grant to the underwriters a 30-day option to purchase up to an additional $30 million aggregate principal amount of the Notes.

Intercept intends to use the net proceeds from the public offerings for working capital and general corporate purposes, which may include, among other things, funding launch preparation activities associated with the potential approval and commercialization of obeticholic acid for nonalcoholic steatohepatitis, the ongoing commercialization of Ocaliva in primary biliary cholangitis and the continued advancement of Intercept’s clinical and research and development programs.
