The lawsuit alleges that Defendants issued a materially misleading proxy statement recommending that Bemis shareholders vote in favor of the proposed transaction. According to the complaint, the proxy statement contains materially incomplete and misleading information concerning: (1) the financial analyses performed by the Company’s financial advisor Goldman Sachs & Co. LLC (“Goldman”); (2) the background of the proposed transaction; and (3) Bemis insiders’ and Goldman’s potential conflicts of interest. As a result, the complaint alleges that Bemis shareholders must be provided this information to make a fully-informed voting decision concerning the proposed transaction.
